Please read these terms carefully before using AgentKit services.

1. Acceptance of Terms

By purchasing, accessing, or using AgentKit products and services, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use our services.

AgentKit reserves the right to modify these Terms at any time. We will notify you of material changes via email at least 30 days before they take effect. Your continued use of our services after changes constitute acceptance of the modified Terms.

2. Service Description

AgentKit provides production-ready AI agent kits and development tools for solo developers and indie makers. Our products include:

  • Engineer Kit ($99 USD) - 17+ AI subagents, 100+ skills, and development workflows
  • Marketing Kit ($99 USD) - Research, sales, and marketing automation tools
  • Combo Bundle ($149 USD) - Complete package with priority support

All products are delivered as private GitHub repository access containing source code, documentation, and implementation guides.

3. License Grant

3.1 Your License to Use

Upon purchase and payment, AgentKit grants you a non-exclusive, non-transferable, perpetual license to:

  • Access and use the purchased agent kit source code
  • Modify the code for your own projects
  • Deploy the code in your commercial or personal applications
  • Create derivative works based on the agent kits

3.2 License Restrictions

You may not:

  • Resell, redistribute, or sublicense AgentKit products or source code
  • Share repository access with unauthorized users
  • Create competing products based on AgentKit source code
  • Remove or modify copyright notices or attribution
  • Use the products for illegal or malicious purposes

4. Repository Access

4.1 GitHub Username

To access private repositories, you must provide a valid GitHub username. Repository invitations will be sent within 24 hours of purchase confirmation.

4.2 Access Duration

Repository access is granted for the lifetime of the repository, subject to compliance with these Terms.

4.3 Access Revocation

AgentKit reserves the right to revoke repository access if you:

  • Violate these Terms
  • Share access with unauthorized users
  • Engage in fraudulent purchases
  • Use products for malicious purposes

5. Payment & Billing

5.1 Payment Processors

We use secure payment processors:

  • Polar.sh for global credit card and PayPal payments
  • Sepay for Vietnam bank transfer payments (VND)

5.2 Pricing

All prices are listed in USD unless otherwise specified. Vietnam payments are processed in VND at current exchange rates.

5.3 Payment Completion

Access to products is granted only after successful payment confirmation from our payment processors.

6. Refund Policy

6.1 Money-Back Guarantee

We offer a 14-day money-back guarantee from the date of purchase.

6.2 Refund Conditions

Refunds are available if:

  • You have not yet accepted the GitHub repository invitation
  • You have not cloned or downloaded the repository
  • You request a refund within 14 days of purchase

6.3 No Refunds After Access

Once you have accessed the repository (accepted invitation or cloned code), refunds are no longer available, as you have received the digital product.

6.4 Refund Process

To request a refund, email support@agentkit.best with your order details. Refunds are processed within 7-10 business days to the original payment method.

7. Intellectual Property Rights

7.1 AgentKit Ownership

AgentKit retains all ownership rights to:

  • Original source code and architecture
  • AgentKit branding, logos, and trademarks
  • Documentation and educational materials
  • Platform and website design

7.2 Your Ownership

You retain all ownership rights to:

  • Your modifications to the source code
  • Your derivative works and applications
  • Your business logic and implementations
  • Content you create using AgentKit tools

7.3 Attribution

While not required for your own projects, we appreciate attribution when sharing or showcasing work built with AgentKit.

7.4 Open Source Components

AgentKit products may include open source components subject to their own licenses. See LICENSE files in repositories for details.

8. Prohibited Uses

You may not use AgentKit products to:

  • Violate any laws or regulations
  • Infringe intellectual property rights
  • Create malware, viruses, or harmful software
  • Engage in fraudulent or deceptive practices
  • Harass, abuse, or harm others
  • Reverse engineer for competitive purposes
  • Circumvent security measures or access controls
  • Generate harmful or illegal AI content

9. Account Security

9.1 GitHub Account

You are responsible for:

  • Maintaining the security of your GitHub account
  • All activity under your GitHub username
  • Not sharing repository access with others
  • Complying with GitHub's Terms of Service

9.2 Email Account

Keep your email address current for order confirmations, repository invitations, and important notifications.

10. Warranties & Disclaimers

10.1 As-Is Provision

AgentKit products are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, and accuracy or completeness.

10.2 Your Responsibility

You assume all risk for selection and use of AgentKit products, results obtained, integration with your systems, and compliance with applicable laws.

10.3 No Guarantee

We do not guarantee that AgentKit products will meet your specific requirements, be compatible with all systems, operate without interruptions, or be free of bugs or defects.

11. Limitation of Liability

11.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTKIT'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT.

11.2 Excluded Damages

IN NO EVENT SHALL AGENTKIT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL.

11.3 Exceptions

The limitations above do not apply to fraud or willful misconduct, death or personal injury caused by negligence, and violations that cannot be limited by law.

12. Indemnification

You agree to indemnify and hold harmless AgentKit, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of AgentKit products, your violation of these Terms, your violation of any laws or third-party rights, and your modifications or derivative works.

13. Termination

13.1 Termination by You

You may stop using AgentKit products at any time. Your license to use the code remains valid unless revoked for Terms violations.

13.2 Termination by AgentKit

We may terminate or suspend your access if you violate these Terms, engage in fraudulent activity, misuse products for illegal purposes, or share repository access improperly.

13.3 Effect of Termination

Upon termination, your repository access will be revoked and your license to use the code may be terminated. Sections 7 (IP Rights), 10 (Disclaimers), 11 (Liability), and 12 (Indemnification) survive termination.

14. Third-Party Services

AgentKit integrates with third-party services including GitHub, Polar.sh, Sepay, Resend, and Anthropic (Claude AI API). You are responsible for reviewing and complying with the terms and privacy policies of these third-party services.

15. Privacy & Data Protection

Your use of AgentKit is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

16. Export Control

AgentKit products may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws.

17. Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of Vietnam, without regard to conflict of law principles.

17.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at support@agentkit.best to attempt informal resolution for at least 30 days.

17.3 Jurisdiction

For any disputes that cannot be resolved informally, you agree to the exclusive jurisdiction of the courts in Ho Chi Minh City, Vietnam.

18. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and AgentKit.
  • Severability: If any provision is found to be unenforceable, the remaining provisions remain in full effect.
  • No Waiver: Our failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign or transfer these Terms without our written consent.
  • Force Majeure: AgentKit is not liable for failure or delay due to circumstances beyond our reasonable control.
  • Notices: Notices to AgentKit should be sent to support@agentkit.best.
  • Language: The English language version of these Terms is legally binding.

19. Age Restriction

AgentKit products are intended for users 18 years of age or older. By using our services, you represent that you are at least 18 years old.
